Terms of Service

1. Legal Entity and Acceptance of the Agreement

These Terms of Service ("Terms") govern the access and use of the MedicalRotations platform, available at medicalrotations.com, operated by:

By creating an account, accessing, or using the Platform, the user ("User") agrees to be legally bound by these Terms. If the User does not accept these Terms, they must not use the Platform.

Definitions

  • "Platform": Website, dashboards, API, database, applications, and services operated by MedicalRotations.
  • "Student": User who applies for, books, or participates in a clinical rotation or educational experience.
  • "Clinic": Organization, hospital, clinic, or medical institution that publishes, offers, or manages programs or rotations.
  • "University": Academic institution that uses MedicalRotations to manage students and institutional payments.
  • "Rotation" or "Program": Clinical activity offered by Clinics and managed through the Platform.
  • "User Content": Information, documents, files, forms, communications, and any data provided by a User.
  • "Marketplace": The relationship in which MedicalRotations acts solely as a technological intermediary, not as employer, advertiser, medical provider, or responsible party for the final delivery of the service.

Eligibility

The User represents that:

  • They are at least 18 years old.
  • They have the legal capacity to enter into a binding contract.
  • All information provided is true, complete, and up to date.
  • They comply with applicable laws in their jurisdiction.

Modification of the Terms

MedicalRotations may modify these Terms at any time. Modifications will become effective immediately for new Users, and upon publication for existing Users. Continued use of the Platform after modifications constitutes acceptance of the updated Terms.

Scope and Applicability

These Terms apply to Students, Clinics, Universities, site visitors, and any individual accessing the Platform.

2. Scope of Service (Marketplace Disclaimer)

Nature of the Service

MedicalRotations operates exclusively as an intermediary marketplace connecting Students seeking clinical rotations, Clinics offering programs, and Universities managing students and institutional payments. The Platform facilitates transactions, payments, communications, and documentation.

MedicalRotations Is NOT a Medical Provider

The User acknowledges and agrees that:

  • MedicalRotations does NOT provide medical, clinical, or educational services.
  • MedicalRotations does NOT guarantee the quality, safety, accreditation, suitability, or availability of any rotation.
  • All clinical activity is the sole responsibility of the Clinic offering it.

MedicalRotations Is NOT an Employer

The User understands and agrees that:

  • MedicalRotations is NOT the employer of Students or clinical providers.
  • No employment, supervision, preceptorship, or professional liability relationship exists between MedicalRotations and Users.
  • No Student is considered an employee, contractor, trainee, or staff member of MedicalRotations.

Verification Responsibility

Each User is solely responsible for verifying credentials, licenses, accreditation, work or study authorization, insurance, eligibility for the rotation, and compliance with local, state, or federal requirements. MedicalRotations does not verify, certify, or validate such information beyond automated or internal processes.

No Guarantees

MedicalRotations does not guarantee:

  • Acceptance of the Student
  • Availability of rotations
  • Educational outcomes
  • University approval
  • Visa or permit compatibility
  • Access to letters of recommendation (LOR)
  • Access to patients, facilities, or supervisors

Relationship Between Users

The Platform is not a party to contracts between Students and Clinics, academic agreements, clinical agreements, disputes, cancellations, conduct-related conflicts, negligence claims, or regulatory complaints. Users agree to release MedicalRotations from any claim arising from interactions or agreements between them.

3. User Accounts

Account Registration

To use the Platform, Users must create an account with truthful, complete, and current information. Users agree not to use false identities, incomplete information, temporary or fraudulent emails, or data belonging to third parties without authorization. MedicalRotations may reject, suspend, or delete accounts at its discretion.

Identity Verification

MedicalRotations may require additional verification, including government ID (passport, visa, ID), diplomas or transcripts, professional licenses, clinical or health documents, and email or SMS verification. Users authorize MedicalRotations to use third-party tools (e.g., Stripe Identity, KYC/KYB tools).

Account Security

The User is responsible for maintaining password confidentiality, updating account information, protecting access credentials, and reporting unauthorized access. Any activity from the User's account is presumed authorized. MedicalRotations is not liable for losses resulting from unauthorized access caused by User negligence.

Permitted Use

Users agree NOT to use the Platform for:

  • Fraudulent or deceptive activities
  • Submitting false, altered, or plagiarized information
  • Avoiding platform payments or fees
  • Contacting Clinics or Students outside the Platform to circumvent charges
  • Distributing malware, spam, or automated access
  • Breaching systems or databases

Suspension and Termination

MedicalRotations may suspend or terminate an account with or without notice when the Terms are violated, inappropriate behavior occurs, fraud exists or is suspected, there are system security risks, serious complaints are received, or required by regulatory authorities. Termination does not remove pending obligations, including payments, fees, indemnifications, and contractual responsibilities.

User Content

Users retain ownership of content they upload, but grant MedicalRotations a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to store, process, analyze, display, internally distribute, and transmit content as needed to operate the Platform. This license ends when content is deleted, except where retention is required for legal compliance, audit, fraud prevention, transaction records, or tax obligations.

4. Data Collection

MedicalRotations collects only the data necessary to operate the marketplace, process payments, verify identities, and comply with regulatory requirements. For complete details, please see our Privacy Policy.

Types of Data We Collect

Student Data

Full name, email, phone number, date of birth, nationality, passport or visa, medical school, specialty, GPA or academic information, and documents (CV, diploma, immunization records, TB test, health insurance, etc.).

Clinic Data

Organization name, address and contact details, Stripe Connect onboarding data (KYC/KYB), programs, rotations, available slots, and payment/transfer history.

University Data

Name of institution, institutional contact information, institutional payment data, and lists of students submitted through the Platform.

Technical and Navigation Data

IP address, approximate location, device type, operating system, browser, cookies and unique identifiers, search history, clicks, conversions, navigation events, audit logs, failed login attempts, and session tokens.

Payment Data

MedicalRotations does NOT store full card numbers. Stripe processes all payment information, including Stripe Customer ID, Payment Method IDs (tokenized), transaction history, refunds, disputes, and platform fees.

CCPA Statement

In compliance with the California Consumer Privacy Act (CCPA), MedicalRotations explicitly states: MedicalRotations does NOT sell, trade, or share personal data with third parties for advertising purposes. Data is only shared with essential providers (e.g., Stripe) under strict contractual protection.

5. Fees and Payments

Payment Processing

All payments on the Platform are processed exclusively through Stripe, Stripe Connect, and Stripe Payments. The User authorizes MedicalRotations to process payments, store tokenized payment methods in Stripe, manage transfers to Clinics and Universities, and apply charges or fees associated with marketplace use. MedicalRotations does not store or have access to full card numbers.

Fees and Commissions

The User acknowledges and accepts that the Platform may charge platform fees, administrative fees, processing costs, operational charges, verification-related charges, and premium or optional service fees. Fees may be fixed, variable, dynamic based on demand, based on the type of rotation, determined by the organization offering the program, or adjusted based on internal operational factors. All applicable fees will be clearly displayed before completing a transaction.

Taxes

Users are responsible for any applicable taxes, withholding obligations, and tax liabilities related to their activity. MedicalRotations does not provide tax advice and acts solely as a technology intermediary.

Refunds

Refund policies may vary depending on the Clinic offering the rotation, the type of program, institutional agreements with a University, and applicable terms shown at booking. Certain fees may be non-refundable, including administrative or processing costs.

Payment Disputes

In case of a dispute, Users must: (1) Notify MedicalRotations first, (2) Provide supporting documentation, (3) Allow internal review, and (4) Understand that Stripe may manage disputes ("chargebacks"). If Stripe resolves the dispute in favor of MedicalRotations, the Clinic, or the University, the User authorizes the amount to be recharged.

Charge Authorization

The User authorizes automatic charges when a rotation is confirmed, payments auto-renew, outstanding balances exist, adjustments result from disputes, or previously initiated transactions require completion. Authorization remains valid until the User deletes their account and fulfills all financial obligations.

Payment Failures and Consequences

If a payment fails, is rejected, or reversed: the booking may be canceled, the account may be suspended or limited, administrative fees may apply, the debt may be sent to an authorized collection agency, and the User may lose access to programs or rotations.

6. User Responsibilities

General User Responsibilities

All Users (Students, Clinics, Universities, and visitors) agree to:

  • Provide true, accurate, and complete information
  • Update their data as necessary
  • Comply with all applicable laws and regulations
  • Use the Platform for legitimate purposes only
  • Not interfere with Platform operations
  • Not circumvent fees or internal processes
  • Not upload unauthorized, false, fraudulent, or illegal content
  • Treat other Users, support staff, and clinical providers with respect

General Prohibitions

All Users are prohibited from:

  • Attempting to obtain benefits outside the Platform
  • Contacting Clinics or Students to avoid fees
  • Manipulating systems, databases, or processes
  • Creating multiple accounts to evade restrictions
  • Sharing account access with third parties
  • Posting offensive, discriminatory, or illegal content

Indemnification

The User agrees to indemnify, defend, and hold MedicalRotations and Verlam Global LLC harmless from third-party claims, losses or damages, legal costs, false content claims, legal violations, disputes between Users, and User negligence. Indemnification survives account termination.

7. Limitation of Liability

Exclusion of Liability for Third-Party Actions

MedicalRotations is not responsible for:

  • Actions, conduct, or negligence of Clinics, Students, or Universities
  • Quality of education, supervision, or rotation experience
  • Medical incidents, clinical errors, or accidents
  • Program cancellations, schedule changes, delays, or relocations
  • Conflicts between Users
  • Academic decisions by medical schools
  • Visa, immigration, or legal permit issues
  • Payment disputes between Users

No Warranties

The Platform and all related services are provided "AS IS" and "AS AVAILABLE." MedicalRotations does not guarantee rotation availability, Student acceptance, that the experience will meet expectations, an error-free or uninterrupted Platform, academic, professional, or medical results, continuous system access, or the quality, safety, or suitability of Clinics or supervisors.

Maximum Liability

To the extent permitted by law: MedicalRotations' total liability for any claim shall NOT exceed the total amount paid by the User during the previous twelve (12) months. If the User has made no payments, the maximum liability is USD $0.00. This applies to direct damages, economic losses, contractual claims, tort claims, negligence, and any legal theory.

Exclusion of Indirect Damages

MedicalRotations will not be liable for lost income, loss of opportunities, loss of data, academic losses, reputational harm, punitive damages, consequential damages, or special or incidental damages—even if MedicalRotations was warned of the possibility.

Inherent Risks

The User understands that all clinical activity involves risks, participation in rotations may expose Students to patients, diseases, clinical situations, and healthcare environments, and MedicalRotations does not intervene in clinical protocols, workplace safety, or medical decisions. Students participate at their own risk.

Force Majeure

MedicalRotations is not liable for failures caused by natural disasters, pandemics, strikes, power outages, failures of external providers, cyberattacks, governmental restrictions, or other events beyond reasonable control.

8. Intellectual Property

Platform Ownership

All content, software, and materials associated with MedicalRotations are the exclusive property of Verlam Global LLC or its licensors. This includes source code, visual design, business logic, database, administrative dashboards, text, images, icons, logos, graphics, software architecture, algorithms, operational processes, internal tools, manuals, documentation, and descriptions. All rights not expressly granted are reserved.

Trademarks and Brand Use

"MedicalRotations," the domain medicalrotations.com, logos, graphic styles, and distinctive elements are intellectual property of Verlam Global LLC. Users may NOT use the trademarks, create imitations, register similar domains, use the brand for personal promotion, or alter or remove ownership marks. Unauthorized use is grounds for legal action.

Limited User License

MedicalRotations grants the User a limited, revocable, non-exclusive, and non-transferable license to access and use the Platform solely for legitimate and approved purposes. Users may NOT copy, distribute, or modify the software, reverse engineer, decompile or extract code, manipulate internal functions, create derivative products, use the Platform for external commercial purposes, or interfere with automated systems.

User Content

Users retain ownership of content they upload but grant MedicalRotations a limited license to store, process, analyze, display internally, transmit to Clinics or Universities as needed, and comply with legal obligations. This license ends when content is deleted unless legal retention requirements apply.

Infringement Reports

If a User believes content infringes copyright or intellectual property, they may report it to legal@medicalrotations.com. The report must include clear identification of infringing material, proof of ownership, and contact information of the claimant. MedicalRotations may remove or suspend content as appropriate.

9. Binding Arbitration + Class Action Waiver

Arbitration Agreement

The User agrees that any dispute, claim, or controversy arising from use of the Platform, these Terms, related services, interactions with other Users, payments, documents or content, bookings or rotations, or legal or contractual responsibility will be resolved exclusively through binding arbitration administered by a recognized arbitration body in the State of Wyoming. This means there will be NO court trial or jury trial.

Arbitration Procedure

Arbitration will be individual, confidential, final and binding, conducted in Wyoming (or via videoconference when applicable), and administered by a neutral arbitrator. The arbitrator has authority to interpret these Terms, assign costs, issue final decisions, and order measures allowed by law. Decisions are enforceable in any competent court.

Exclusions from Arbitration

MedicalRotations may bring claims in court for intellectual property infringement, misuse of trademarks, unauthorized system or data access, security breaches, or intentional damage to the Platform. These actions may be taken in Wyoming courts.

Class Action Waiver

The User agrees that all disputes must be resolved individually. THE USER EXPRESSLY AND IRREVOCABLY WAIVES PARTICIPATION IN class actions, collective arbitrations, representative actions, group actions, and consolidated claims. Neither Users nor MedicalRotations may bring claims as plaintiffs or class members in group litigation.

Jury Trial Waiver

The User explicitly waives the right to a trial by jury in any proceeding related to the Platform.

Informal Resolution Attempt

Before initiating arbitration: (1) User must contact MedicalRotations at legal@medicalrotations.com, (2) Describe the dispute, and (3) Attempt informal resolution within a reasonable period (e.g., 30 days). MedicalRotations will make reasonable efforts to resolve the conflict.

10. Governing Law and Jurisdiction

Governing Law

These Terms of Service and any related dispute regarding use of the Platform, interactions with other Users, services offered by MedicalRotations, payments and transactions, uploaded documents or content, and complementary agreements (Students, Clinics, Universities) are governed exclusively by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Exclusive Jurisdiction

For cases not subject to arbitration (see Section 9): State and federal courts located in Wyoming have exclusive jurisdiction. The User consents to personal jurisdiction of those courts, geographic location, and validity of decisions issued in that state.

Location of Service

The User acknowledges that MedicalRotations is operated by a company incorporated in Wyoming, the infrastructure and services are considered U.S.-based, and marketplace activity is governed under U.S. law.

International Compliance

Users outside the U.S. must ensure compliance with local laws, immigration regulations, required permissions for rotations, and health and education regulations in their home country. MedicalRotations does not guarantee international legal compatibility.

Translations

If translations of these Terms are provided, the English version (or the official version published by MedicalRotations) prevails in case of conflict.

Severability

If any provision is invalid, illegal, or unenforceable, only the necessary portion will be modified, and the rest remains in full force.

11. Final Provisions

Entire Agreement

These Terms, together with the Privacy Policy, the Student Terms, the Clinic Terms, the University Terms, and any additional policies published on the Platform, constitute the complete and exclusive agreement between the User and MedicalRotations. They supersede all prior verbal or written agreements.

Assignment

MedicalRotations may transfer, assign, delegate, or subcontract its rights and obligations under these Terms without User consent. Users may not assign their rights without written authorization.

Notices are deemed received immediately if sent via email (unless bounced), or within 5 business days if sent via physical mail.

Waiver

Failure to enforce any clause does not constitute a waiver, does not affect future rights, and does not limit the ability to enforce the Terms later.

Relationship of the Parties

Nothing in these Terms creates an employment relationship, partnership, joint venture, agency, legal representation, or fiduciary duty between the User and MedicalRotations. The User acknowledges that MedicalRotations operates solely as a marketplace.

Survival of Obligations

The following obligations survive account termination: indemnification, limitation of liability, intellectual property, arbitration and class action waiver, outstanding financial obligations, legal and tax obligations, and data retention obligations.

Official Language

The official version of the Agreement is the English version (or the version published on the Platform). Translations are for convenience only.

Effective Date

These Terms become effective on the date they are published on the Platform, or on the date the User creates an account, whichever occurs first.
